1.GOVERNANCE OF TORONTO HYDRO-ELECTRIC COMMISSION.

Forwarding, on behalf of the Toronto Hydro-Electric Commission, a copy of a report
entitled "Accountability Framework for the Toronto Hydro-Electric Commission", prepared
by Jalynn H. Bennett & Associates Ltd., who were retained by the Commission to undertake
research and prepare a report on a recommended governance structure for Toronto Hydro
and a process for selecting Directors; advising that the Commission generally endorses the
Bennett report and outlining additional recommendations and comments with respect to
composition, selection criteria, terms, process, remuneration and frequency of meetings; also
forwarding a copy of the Commission's "Submission to the Standing Committee on
Resource Development at Hearings on Bill 35, The Energy Competition Act", the
Commission's Special Integration Newsletter entitled "Vision 2000", and a Background
Fact Sheet on Toronto Hydro Amalgamation and Bill 35; and requesting the opportunity to
appear before the Works and Utilities Committee at its special meeting on September 14,
1998.
(NOTE: A copy of the aforementioned Newsletter has been forwarded to all Members of
Council and a copy is on file in the office of the City Clerk.)
2.APPOINTMENTS TO THE TORONTO HYDRO-ELECTRIC COMMISSION.

Advising that the Striking Committee at its meeting held on July 29, 1998, requested the
City Clerk to:
(1)advise Members of Council that it is anticipated that appointments of Members of
Council may need to be made to the Toronto Hydro-Electric Commission once the
composition of the new Commission is established; and
(2)canvass Members of Council, at the appropriate time, for their interest in being
appointed to the new Commission;
and that accordingly, if it is determined that appointments of Members of Council will need
to be made to the Toronto Hydro-Electric Commission once the composition of the new
Commission is established, Members of Council will be canvassed for their possible interest
in such appointments at that time.
